Terms of Service

These Terms of Service ("Terms") govern your access to and use of all products and services offered by VisionAI Media LLC ("Company", "we", "us", "our"), including WeaveEdge Pro, WeaveEdge Academy, WeaveEdge Trade, and any future products (collectively, the "Services").

By creating an account or accessing any Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

VisionAI Media LLC publishes software applications and digital platforms designed for personal use in the areas of trading reflection, education, and analytics:

• WeaveEdge Pro — An AI-powered personal trading journal for self-reflection, pattern tracking, and psychological analysis. Not a trading signal service.
• WeaveEdge Academy — A structured educational platform offering courses, live sessions, and community resources on trading concepts and discipline.
• WeaveEdge Trade — A personal analytics and research tool for tracking market data and structuring trading information for educational purposes.

All Services are tools for personal reflection and education. They are not financial advisory services, and we make no representations regarding the profitability of any trading strategy.

You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that:

• You are at least 18 years old;
• You have the legal capacity to enter into a binding agreement;
• Your use of the Services complies with all applicable local, national, and international laws and regulations;
• You are not located in a jurisdiction where access to the Services is prohibited by law.

Certain features require account registration. You agree to:

• Provide accurate, current, and complete information during registration;
• Maintain and promptly update your account information;
• Keep your login credentials confidential and notify us immediately of any unauthorized access at danyel@visionai.media;
• Be responsible for all activities that occur under your account.

We reserve the right to suspend or terminate accounts containing inaccurate information or created in violation of these Terms.

Subscriptions to the Services are offered on a recurring basis (monthly or annual). By subscribing:

• Your subscription automatically renews at the end of each billing period unless cancelled;
• You authorize us (via our payment processor Paddle) to charge your payment method for each renewal;
• You may cancel at any time; cancellation takes effect at the end of the current paid period;
• No partial refunds are issued for the remaining unused days of a billing period (except as required by applicable law — see our Refund Policy);
• Current pricing is displayed on the respective product pages. We reserve the right to change prices with 30 days' notice to your registered email address.

All payments are processed by Paddle.com Market Limited ("Paddle"), which acts as the Merchant of Record for all transactions. When you purchase a subscription, you are transacting directly with Paddle, not with VisionAI Media LLC.

• Paddle handles all applicable taxes, including VAT for EU customers, in accordance with local tax laws;
• Your card statement will show a charge from "PADDLE.NET*" or similar;
• For billing disputes, contact Paddle support at paddle.com/help;
• Failed payments may result in service interruption.

The Services are provided for educational, journaling, and analytical purposes only.

• Nothing on or within the Services constitutes financial, investment, trading, tax, or legal advice;
• VisionAI Media LLC is not a registered investment advisor, broker-dealer, commodity trading advisor, or financial institution under any applicable law;
• Any market data, statistics, analysis, or educational content provided through the Services is for informational purposes only and should not be construed as a recommendation to buy, sell, or hold any financial instrument;
• All trading decisions are made solely by the User at their own risk;
• Past performance data is not indicative of future results;
• You should seek independent professional financial, legal, and tax advice before making any investment decisions.

By using the Services, you explicitly acknowledge and accept these limitations.

All content, software, designs, trademarks, logos, and other materials within the Services are the exclusive property of VisionAI Media LLC or its licensors and are protected by applicable intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial purposes, subject to these Terms. You may not:

• Copy, reproduce, distribute, or create derivative works of any Service content;
• Reverse engineer, decompile, or disassemble any software component;
• Resell, sublicense, or commercially exploit the Services or any portion thereof without our prior written consent;
• Remove any copyright, trademark, or proprietary notices.

You agree not to use the Services to:

• Violate any applicable laws or regulations;
• Transmit unsolicited communications (spam) or harmful code;
• Attempt to gain unauthorized access to any system or network;
• Interfere with or disrupt the integrity or performance of the Services;
• Scrape, crawl, or data-mine any content from the Services without written permission;
• Impersonate any person or entity or misrepresent your affiliation.

We may suspend or terminate your account and access to the Services at our sole discretion, immediately and without prior notice, if:

• You breach any provision of these Terms;
• Your subscription payment fails and is not rectified within a reasonable time;
• We are required to do so by law or court order;
• We discontinue the relevant Service.

Upon termination, your right to use the Services ceases immediately. You may cancel your subscription at any time through your account portal or by contacting danyel@visionai.media.

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or free of viruses. We make no warranty regarding the accuracy, completeness, or timeliness of any market data, educational content, or analytical output. We expressly disclaim any warranty that use of the Services will result in profitable trading outcomes.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VISIONAI MEDIA LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING TRADING LOSSES, LOSS OF DATA, OR LOSS OF PROFITS, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.

In any event, our total cumulative liability to you for any claims arising from or related to these Terms or the Services shall not exceed the total subscription fees paid by you in the 12 months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability; in such jurisdictions, our liability is limited to the fullest extent permitted by law. Mandatory statutory consumer rights under applicable law (including EU consumer protection law) remain unaffected.

You agree to indemnify, defend, and hold harmless VisionAI Media LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your access to or use of the Services;
• Your violation of these Terms;
• Your violation of any third-party rights;
• Any trading decisions made based on information accessed through the Services.

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of Pinellas County, Florida.

Notwithstanding the above, if you are a consumer resident in the European Union, you retain the benefit of any mandatory consumer protection provisions of the law of your country of residence, and nothing in these Terms limits those rights.

Before initiating formal legal proceedings, the parties agree to attempt to resolve any dispute informally. Contact us at danyel@visionai.media and we will attempt to resolve the dispute within 30 days.

If informal resolution fails, disputes shall be resolved by binding arbitration in Pinellas County, Florida, in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction. Class action and jury trial rights are waived to the extent permitted by law.

EU consumers may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

We may update these Terms from time to time. We will notify you of material changes by:

• Sending an email to your registered address at least 14 days before the changes take effect;
• Posting the updated Terms on this page with a new "Last updated" date.

Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must cancel your subscription and stop using the Services.
